MANAGEMENT AGREEMENT & MANAGEMENT STATEMENT

Sample Management Agreement


In consideration of the covenants herein contained,_________________________ ______________________________________________________________(herein called "Owner") whose address is___________________________________________________ and Joseph A. Del Forno, Inc. (herein called "Agent") agree as follows:

1. The Owner hereby employs the Agent exclusively to rent and manage the property known as __________________________________________________________ ____________________________________________________________________________
upon the terms hereinafter set forth, for the period of ____________________ _________________ year(s) beginning on ________________________________, and ending on _____________________________________, and thereafter for a yearly period. Either party may terminate this agreement with a 30 day written notice, of such intent to the other party. Said 30 day notice to be given and received within the prior month and shall always terminate on the last day of the month of termination.

2. The Agent agrees:

A. To accept and does hereby accept the management of the said premises for the period and upon the terms herein provided, and agrees to furnish the services of his/its organization for the renting, operating, and managing of said premises.

B. To employ and supervise all labor required for the operation and maintenance of the premises.

C. To investigate carefully all references of prospective tenants.

D. To render monthly statements of receipts, expense, and charges and to remit receipts less disbursements. In case the disbursements shall be in excess of the rents collected by Agent, the Owner agrees to pay such expense promptly upon demand.

E. The Agent is clothed with such other general authority and powers as may be necessary or advisable to carry out the intent of this agreement.

3. The Owner gives to the Agent the following authority and powers, and agrees to assume the expense incurred in connection therewith:

A. To advertise said premises or any part thereof, to display signs thereon, and to rent the same: to sign, renew, or cancel leases for premises or any part thereof; to institute and prosecute actions to oust tenants and recover possession of premises; to sue for and recover rent; and, when expedient, to settle, compromise, and release such actions or suits.

B. To hire, discharge, and pay all engineers, janitors, and other employees; to make or cause to be made repairs and alterations and to do decorating on the premises; to purchase supplies and to pay all bills. The Agent shall allow to the Owner any rebate or discount which the Agent shall obtain.

C. To collect rents due or to become due and give receipt therefore.

4. The Owner further agrees:

A. To obtain a policy for public liability insurance including elevator and steam boiler libility endorsements, which policy shall name the agent as an additional insured. In the even the owner is unable to obtain a public liability insurance policy naming the agent as an additional insured, or in the event any claim exceeds the policy limits for coverage under such policy for insurance, Owner hereby expressly agrees to indemnify, defend and hold harmless the agent from and against any and all claims, losses, liabilities, damage, costs and expenses (including without limitation attorney fees and disbursements) any suit arising from, out of or in connection with the occupation, maintenance or management of the property including but not limited to liability arising from any injury to person or property as a result of any act or omission of the owner, its agents, representatives, employees, subcontractors, invitees or licensees, whether negligent or otherwise.

B. To pay the Agent each month:
For Management ____________________________of Rent money received from the operation of said premises during the period herein provided for.

C. The Agent is allowed to spend up to $______________________for any one emergency. The repairs not of an emergency matter must be approved by the Owner.

D. Owner to pay Joseph A. Del Forno, Inc. in addition to the above mentioned management fee a $_____________fee per dispossess per Tenant, to cover legal representation and administrative cost for same. Agent herein agrees to, if possible collect these fees back from Tenant.

This agreement shall be the total agreement. Copy received and contents understood.
